Agreement to Terms

By accessing or using InstaBid, you agree to be bound by these Terms of Service. If you disagree, do not use our platform.

Description of Service

InstaBid provides a SaaS platform for contractors to generate estimates, send contracts, process payments, and schedule appointments with their customers.

Account Responsibilities

• You must provide accurate account information
• You are responsible for maintaining the security of your login credentials
• You are responsible for all activity under your account
• You must be at least 18 years old to use this service

Acceptable Use

You agree NOT to:

• Use the service for any illegal purpose
• Submit false or misleading estimates
• Attempt to access other users' accounts or data
• Interfere with or disrupt the service
• Resell or redistribute the service without permission
• Reverse engineer, decompile, disassemble or otherwise try to work out the source code, pricing logic, formulas, multipliers or data structure of the service
• Scrape, crawl, spider, bulk-download or export the service or its output, or use bots, scripts or other automated tools to access it, except through features or APIs we provide for that purpose
• Use the service, its estimates, catalogs, prices, question flows or any other output to build, improve, benchmark or train a competing product, service, dataset or AI/machine-learning model
• Copy, frame, mirror or imitate the service's features, workflow, screens or question flow
• Share your login, or resell access, so that someone else can do any of the above

Payments & Subscriptions

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days notice

Estimate Accuracy

InstaBid provides tools to generate estimates based on data you provide. You are solely responsible for the accuracy of estimates sent to your customers. InstaBid is not liable for any discrepancies between estimates and actual project costs.

Proprietary System & Protective Clause

InstaBid, including its pricing engine, material and labor catalogs, regional multipliers, estimating methods, question flows, software, design and content, is the proprietary property of Instabid LLC. It is protected by copyright, trademark and trade-secret law. Much of it is confidential and not public, and we take reasonable steps to keep it that way.

You get a limited, non-exclusive, non-transferable and revocable right to use InstaBid for your own business while your account is active. You get no other right, title or license. The estimates you send to your own customers are yours to use in your business. The system that produced them is not.

Any use that breaks the Acceptable Use rules above is unauthorized use of our confidential system. If you break these rules:

• we may suspend or close your account immediately, without a refund;
• we may seek a court order (injunction) to stop the misuse, in addition to damages and any other remedy the law allows; and
• you agree to pay our reasonable legal fees for enforcing this section.

This section stays in force after your account ends.

Limitation of Liability

InstaBid shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

Termination

We may terminate or suspend your account at any time for violations of these terms. You may cancel your account at any time through the dashboard or by contacting support.

Changes to Terms

We may modify these terms at any time. Continued use after changes constitutes acceptance of the new terms.

Governing Law

These terms are governed by the laws of the State of Wyoming, without regard to conflict of law provisions.
